Terms and Conditions
These general terms and conditions have been compiled with the greatest possible care by us, Rhodyon iT, located in Westerlee (the Netherlands), and apply to our website Rhodyon.eu, hereinafter abbreviated as: Rhodyon.
- These general terms and conditions apply to all Rhodyon services. The conditions are accessible to everyone and are included on the Rhodyon website.
- By placing an order, you indicate that you agree to the delivery and payment conditions. Rhodyon reserves the right to change its delivery and/or payment conditions after the expiry of the term.
- Unless otherwise agreed in writing, the general or specific conditions or stipulations of third parties are not recognized by Rhodyon.
- Rhodyon guarantees that the delivered product or service complies with the agreement and meets the specifications stated in the offer.
- Rhodyon is authorized at all times to change or supplement the General Terms and Conditions.
- Rhodyon explicitly prohibits placing illegal content on Rhodyon servers or using them for criminal activities.
- Rhodyon uses quotes for its hosting services based on standard packages. The prices and descriptions of the packages as stated on the Rhodyon website apply as binding quotes from the moment the customer places an order.
- Rhodyon's quotes are for information purposes only. All prices stated include VAT unless otherwise stated. The prices stated in a quote are valid for a period specified in the quote. If no period is stated in the quote, it is valid for 30 calendar days.
- The agreed delivery times and delivery dates are always indicative and do not bind Rhodyon. By delivery of software is understood the provision by Rhodyon to the customer of an executable version of the software on magnetic medium, readable by the computer hardware of the customer, or installed on the server of the customer or on one of the servers of Rhodyon. Complaints concerning visible or mechanical defects must be reported to Rhodyon within 14 days after delivery.
- No liability for defects can be withheld on the part of Rhodyon if this period has expired without receipt of the above-mentioned notification. The timely and justified complaints of the customer will give rise to repair or replacement of the delivered services and goods or the defective parts thereof by Rhodyon without Rhodyon being liable for damages in addition.
- When applying for and registering a domain, a lead time of several weeks must be taken into account.
- Delivery will take place while stocks last.
- In the context of the rules of distance selling, Rhodyon will execute orders within 30 days at least. If this is not possible (because the ordered item is out of stock or no longer available), or there is a delay for other reasons, or an order cannot be executed or can only be executed in part, the consumer will receive a message within 1 month after placing the order and in that case has the right to cancel the order without costs and notice of default.
- Rhodyon's delivery obligation will, unless proven otherwise, be fulfilled as soon as the items delivered by Rhodyon have been offered to the consumer. In the case of home delivery, the carrier's report, containing the refusal of acceptance, serves as full proof of the offer to deliver.
- All terms stated on the website are indicative. No rights can therefore be derived from the terms stated.
- Prices will not be increased during the duration of the offer, unless legal measures make this necessary or if the manufacturer or supplier implements interim price increases.
- All prices on the site are subject to printing and typing errors. No liability is accepted for the consequences of printing and typing errors.
- All prices on the site are in EURO and include 21% VAT.
- Rhodyon may terminate the agreement with immediate effect if the customer fails to properly or fully fulfil one or more of its obligations towards Rhodyon or acts in conflict with them.
- Rhodyon has the right to terminate the agreement with immediate effect without notice of default or judicial intervention if the customer has been declared bankrupt, has applied for or obtained a suspension of payments or has otherwise lost the free management of its assets. The latter party is then not entitled to any compensation.
- Shared hosting services have a minimum term of 1 year, after which they can be cancelled monthly.
- Dedicated server contracts have a minimum term of 1 year, after which they can be cancelled quarterly.
- If the customer wishes to terminate the delivery of the service, a written notice of cancellation must reach Rhodyon 31 calendar days before the end of the current period.
- Registered domain names will only be extended if payment for the extension reaches Rhodyon before the expiry date of the registration. If the payment does not reach Rhodyon before this date, Rhodyon will tacitly assume that the customer does not wish to extend the registration period and Rhodyon will request the release of the relevant domain name from the registration authority.
- If the registration authority does not use a due date system, the calendar day following the period for which the customer has already made payments to Rhodyon will be used for this.
- If the registration authority uses a procedure or requires the completion of documents for the termination of a domain name registration, registered domain names can only be terminated using the documents and/or procedures designated by the registration authority.
- If there is a consumer purchase, in accordance with the Distance Selling Act (article 7:5 BW), the customer has the right to return (part of) the delivered goods within a period of 14 days without giving any reason. This period commences at the moment that the ordered goods have been delivered. If the customer has not returned the delivered goods to Rhodyon after this period has expired, the purchase is a fact. The customer is obliged, before proceeding to return the goods, to notify Rhodyon of this in writing within 14 days of delivery. The customer must prove that the delivered goods were returned on time, for example by means of proof of postal delivery. The goods must be returned in the original packaging (including accessories and accompanying documentation) and in new condition. If the goods have been used, encumbered or damaged in any way by the customer, the right to dissolution within the meaning of this section lapses. Subject to the provisions of the previous sentence, Rhodyon will ensure that the full purchase price, including the calculated shipping costs, is refunded to the customer within 30 days of proper receipt of the return shipment. The return of the delivered goods is entirely at the expense and risk of the customer.
- The right of withdrawal, as described in the previous paragraph, only applies to the delivered goods and will in no case apply to services.
- The right of withdrawal does not apply to:
-
- services the performance of which, with the consent of the consumer, has begun before a period of seven working days
- goods or services the price of which is subject to fluctuations on the financial market, over which the supplier has no influence
- goods that have been manufactured according to the consumer's specifications, for example custom-made, or that have a clearly personal character
- for goods or services that cannot be returned by their nature, for example in connection with hygiene or that can spoil or age quickly
- audio and video recordings and computer software of which the consumer has seal

- Rhodyon or third parties from whom Rhodyon has obtained licenses shall at all times remain the owner of all intellectual and other property rights to all software. The customer guarantees that he has all copyrights and other rights concerning the information that he has included on his website and guarantees that Rhodyon can never be held liable for this in any way.
- The customer guarantees that he has all copyrights and other rights or the necessary valid licenses concerning the software that he places on hardware made available by Rhodyon, or hardware housed at Rhodyon.
- Rhodyon guarantees that the delivered products meet the requirements of usability, reliability and lifespan as reasonably intended by the parties to the purchase agreement, and therefore guarantees the manufacturer's warranty of the product delivered to you.
- Rhodyon's warranty period corresponds to the manufacturer's warranty period. However, Rhodyon is never responsible for the ultimate suitability of the goods for each individual application by the customer, nor for any advice regarding the use or application of the goods.
- The customer is obliged to immediately check the delivered goods upon receipt. If it appears that the delivered article is incorrect, defective or incomplete, the customer must immediately report these defects to Rhodyon in writing (before returning it to Rhodyon). Any defects or incorrectly delivered goods must and can be reported to Rhodyon in writing up to a maximum of 2 months after delivery. The goods must be returned in the original packaging (including accessories and accompanying documentation) and in new condition. Commissioning after discovery of a defect, damage occurring after discovery of a defect, encumbrance and/or resale after discovery of a defect, completely forfeits this right to complain and return.
- If complaints from the customer are found to be justified by Rhodyon, Rhodyon will, at its own discretion, replace the delivered goods free of charge or make a written arrangement with the customer regarding compensation, with the understanding that Rhodyon's liability and therefore the amount of compensation is always limited to a maximum of the invoice amount of the goods in question, or (at Rhodyon's discretion) to a maximum of the amount covered by Rhodyon's liability insurance in the relevant case. Any liability of Rhodyon for any other form of damage is excluded, including additional compensation in any form whatsoever, compensation for indirect damage or consequential damage or damage due to lost profits.
- Rhodyon is not liable for damage caused by intent or equivalent conscious recklessness of non-managerial staff.
- This guarantee does not apply if:

- as long as the customer is in default towards Rhodyon;
- the customer has repaired and/or processed the delivered goods themselves or has had them repaired and/or processed by third parties.
- the delivered goods have been exposed to abnormal conditions or have otherwise been treated carelessly or in conflict with the instructions of Rhodyon and/or the instructions for use on the packaging;
- the defect is wholly or partly the result of regulations that the government has imposed or will impose with regard to the nature or the quality of the materials used;
- Offers are without obligation, unless otherwise stated in the offer.
- If the buyer accepts a non-binding offer, Rhodyon reserves the right to revoke the offer or deviate from it within 3 working days of receipt of that acceptance.
- Verbal commitments are only binding on Rhodyon after they have been expressly confirmed in writing.
- Rhodyon's offers do not automatically apply to repeat orders.
- Rhodyon cannot be held to its offer if the customer should have understood that the offer, or a part thereof, contained an obvious mistake or typographical error.
- Additions, changes and/or further agreements are only valid if agreed in writing.
- An agreement between Rhodyon and a customer is concluded after an order has been assessed for feasibility by Rhodyon.
- Rhodyon reserves the right not to accept orders or assignments without stating reasons.
- Payment of each invoiced amount, including tax, must be made on the invoice date to Rhodyon's bank/giro account at no cost to Rhodyon.
- In the event of non-payment on the due date, the invoice amount will be increased by a fixed compensation of 10% by operation of law and without notice of default, with a minimum of 50 euros and with an interest of 1.25% per month from the due date. With each repeat invoice, an administration fee of 12.5 euros will be charged.
- In the event of non-payment, Rhodyon will also be entitled to suspend all further deliveries to the customer without notice of default and/or to declare current agreements dissolved by operation of law, without prejudice to Rhodyon's right to demand performance and/or compensation from the customer.
- Rhodyon reserves the right to refuse, stop or postpone the execution of an order without the right to compensation and without the refusal to sell being invoked. Rhodyon may stop the execution of any order from a customer without prior notice and without any recourse or compensation, if it appears that payment for an order from the same customer has not yet been made by the due date.
- As long as the customer has not paid the full price including costs and taxes plus any interest and/or compensation, Rhodyon remains the owner of the goods or services it has delivered.
- The customer undertakes to pay for all services provided on his behalf.
- An agreement between Rhodyon and a customer is concluded after an order has been assessed for feasibility by Rhodyon.
- Rhodyon reserves the right not to accept orders or assignments without stating reasons or to accept them only on the condition that the shipment is made cash on delivery or after advance payment.
All images; photos, drawings, etc.; data regarding weights, dimensions, colours, images of labels, etc. on the Rhodyon website are approximate only, are indicative and cannot give rise to compensation or termination of the agreement.
- Rhodyon is not liable if and to the extent that its obligations cannot be fulfilled as a result of force majeure.
- Force majeure is understood to mean any external cause, as well as any circumstance that should not reasonably be at its risk. Delays or non-performance by our suppliers, disruptions in the internet, disruptions in the electricity, disruptions in e-mail traffic and disruptions or changes in technology supplied by third parties, transport difficulties, strikes, government measures, delays in supply, negligence of suppliers and/or manufacturers of Rhodyon as well as of assistants, illness of personnel, defects in auxiliary or transport equipment are expressly considered force majeure.
- In the event of force majeure, Rhodyon reserves the right to suspend its obligations and is also entitled to dissolve the agreement in whole or in part, or to demand that the content of the agreement be amended in such a way that execution remains possible. Rhodyon is in no case obliged to pay any fine or compensation.
- If Rhodyon has already partially fulfilled its obligations at the time of the occurrence of force majeure, or can only partially fulfil its obligations, it is entitled to invoice the already delivered or deliverable part separately and the customer is obliged to pay this invoice as if it were a separate contract. However, this does not apply if the already delivered or deliverable part has no independent value.
- Rhodyon can in no case be held liable for any direct or indirect damage or consequential damage that would be wholly or partly the result of an error or negligence attributable to Rhodyon or one of its employees during the performance of a service on behalf of the customer or as a result of decisions taken by Rhodyon or one of its employees based on information provided by the customer to Rhodyon.
- Rhodyon will never be liable for any direct or indirect damage such as, but not limited to, loss of income, claims by third parties, loss of clientele or loss of data or for any other damage attributable to material or information provided by Rhodyon to the customer.
- Given the large number of nodes on the Internet with human intervention, the use of local networks and wireless communication, the customer must take into account the fact that the information obtained or sent via the Internet is freely accessible. Rhodyon cannot be held liable for any damage in any form caused by sending confidential or secret information. Rhodyon is not liable for the security or misuse by third parties of the data stored on Rhodyon equipment.
- Given that the Internet consists of a large number of technical nodes that are all managed by different companies, Rhodyon cannot be held liable for the entire path of the connection between the Rhodyon servers and the customer's terminal. Only if the services are interrupted by a demonstrable error by Rhodyon will the customer be able to claim compensation, whereby the compensation will be limited to the reimbursement of the proportional part of the annual subscription price for the duration of the interruption. Claims for compensation must reach us in writing no later than 2 weeks (14 calendar days) after the interruption.
Rhodyon is not liable for damage to vehicles or other objects caused by incorrect use of the products. Before use, read the instructions on the packaging and/or consult our website.
- The ownership of all goods sold and delivered by Rhodyon to the customer remains with Rhodyon as long as the customer has not paid Rhodyon's claims under the agreement or previous or subsequent similar agreements, as long as the customer has not paid the work performed or yet to be performed under this or similar agreements and as long as the customer has not paid Rhodyon's claims for failure to comply with such obligations, including claims for fines, interest and costs, all as referred to in article 3:92 of the Dutch Civil Code.
- The items delivered by Rhodyon that fall under the retention of title may only be resold in the context of normal business operations and may never be used as a means of payment.
- The customer is not entitled to pledge or encumber the items falling under the retention of title in any other way.
- The buyer now gives unconditional and irrevocable permission to Rhodyon or a third party to be designated by Rhodyon to, in all cases in which Rhodyon wishes to exercise its ownership rights, enter all places where its properties are located at that time and to take those items with them.
- If third parties seize the items delivered under retention of title or wish to establish or assert rights thereto, the purchaser is obliged to inform Rhodyon thereof as soon as may reasonably be expected.
- The purchaser undertakes to insure the items delivered under retention of title and to keep them insured against fire, explosion and water damage as well as against theft and to make the policy of this insurance available for inspection by Rhodyon upon first request.
- These General Terms and Conditions and all agreements between Rhodyon and the customer are exclusively governed by Dutch law.
- Disputes arising from an agreement between Rhodyon and the buyer that cannot be resolved by mutual agreement will be settled by the competent court within the district of Groningen (Netherlands), unless Rhodyon prefers to have the difference settled by the competent court of the buyer's place of residence, and with the exception of those disputes that fall under the jurisdiction of the subdistrict court.
Changes to these general terms and conditions will only come into effect after they have been published in an appropriate manner, provided that applicable changes will be most beneficial to the consumer during the term of an offer.
